Terms of Use
Effective 6 September 2026
These terms govern your use of the AskIR website at askir.app, the AskIR assistant that appears on the investor websites of public companies (each an "Issuer"), the demo builder and the AskIR portal (together, the "Service"). The Service is operated by Vantage Capital Corp ("Vantage", "we", "us"). By using any part of the Service you accept these terms. If you do not accept them, do not use the Service.
If you use the Service on behalf of an Issuer under a written agreement with Vantage, that agreement governs where it differs from these terms.
1. What AskIR is
AskIR is an information tool. It answers questions using only documents an Issuer has approved (such as news releases, website content and corporate presentations), a general investor glossary written by Vantage, and public market data. Each answer names its sources. When the approved documents do not contain an answer, AskIR says so.
Vantage is an investor relations firm. It is engaged and compensated by the Issuers on whose websites AskIR appears.
2. Not investment advice
Nothing provided through the Service is investment, financial, legal or tax advice, a recommendation, or an offer or solicitation to buy or sell any security. AskIR does not give opinions on any company or its shares, does not predict results, prices or timelines, and does not discuss matters an Issuer has not publicly disclosed.
Answers are generated automatically from public documents and may be incomplete, out of date or wrong. An Issuer's continuous disclosure record (SEDAR+ in Canada, the ASX announcements platform in Australia, SEC EDGAR in the United States) and its filed documents are the authoritative sources. Do not rely on AskIR alone for any investment decision. Consult the filed documents and a qualified adviser.
3. Using the assistant
- You may ask questions for your own information. Answers are for personal, non-commercial use.
- Conversations are stored and are visible to the Issuer's investor relations team and to Vantage, as described in the Privacy Policy. Do not enter passwords, account numbers or other sensitive information.
- You must not use the assistant to try to obtain non-public information, to harass, to send unlawful content, to test or circumvent its safeguards, or to overload it. Usage limits apply and access may be limited or refused without notice.
- Leaving your email address for an Issuer's updates is optional. Your consent is recorded and you may withdraw it at any time.
4. The demo builder
The "try it on your company" demo builds a temporary assistant from a company's public website and public news releases so that a prospective client can see how AskIR works. Demos are built from public information only, exist for a limited time, and are removed automatically. They are not endorsed by, and do not represent, the company concerned. A demo does not create any relationship between Vantage and that company, and Vantage may decline or remove any demo at its discretion. A work email address is required to build one, and Vantage may contact you about it.
5. Portal accounts
Portal access is provided to Issuer personnel under the Issuer's agreement with Vantage. Sign-in links are personal; do not share them. You are responsible for activity under your access, and the Issuer is responsible for its users. Vantage may suspend access to protect the Service or the Issuer.
6. Content and intellectual property
Issuer documents and the answers derived from them remain the property of the Issuer and are used with its permission. The AskIR software, design, glossary and other materials created by Vantage belong to Vantage and its licensors. You may not copy, scrape, reproduce, reverse-engineer, frame or create derivative works from the Service, or embed the assistant on any website other than as authorised by Vantage and the Issuer.
Market data is provided by third parties, is stated with its source and time, and may be delayed. It is provided for information only and may not be redistributed.
7. Availability and changes
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may change, suspend or discontinue any part of the Service, and may update these terms, at any time. Changes take effect when posted on this page. Continued use after a change means you accept it.
8. Third-party sites
Answers link to source documents, some of which are hosted on Issuer or third-party websites. Those sites have their own terms and privacy policies, for which we are not responsible.
9. Disclaimer of warranties
The Service is provided "as is" and "as available". To the fullest extent permitted by law, Vantage disclaims all warranties, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose and non-infringement.
10. Limitation of liability
To the fullest extent permitted by law, Vantage and its directors, officers, employees, contractors and providers are not liable for any loss or damage of any kind, including investment losses, loss of profit or data, or indirect, incidental, special or consequential damages, arising from or connected with the Service or any answer it gives, even if advised of the possibility. Where liability cannot be excluded, it is limited to one hundred Canadian dollars. Nothing in these terms limits liability that cannot be limited under applicable law.
11. Indemnity
You agree to indemnify Vantage against claims, losses and costs arising from your breach of these terms or misuse of the Service.
12. Governing law
These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in it, without regard to conflict-of-law rules. The courts of British Columbia have exclusive jurisdiction over any dispute, and you consent to that jurisdiction. If any provision of these terms is unenforceable, the rest remain in effect.
